RELEASE OF REGULATED INFORMATION
Athens, November 28th, 2017
FOLLI-FOLLIE COMMERCIAL MANUFACTURING AND TECHNICAL SOCIETE ANONYME, under the distinctive title "FF GROUP" (hereinafter referred to as "FF GROUP"), hereby notifies, in accordance with article 13 of Law 3340/2005, and the Decision 3/347/12.07.2005 of the Hellenic Capital Market Commission (HCMC) and pursuant to the provisions of Law 3556/2007 (article 14 par. 3) that based on the relevant notification received on November 28th, 2017, on this day, and specifically on November 28th, 2017, two OTC transfers took place of 7.550.000 shares in total, which were directly and indirectly owned by Mr. Dimitrios Koutsolioutsos and issued by FF GROUP as follows:
1.) 6,000,000 common registered shares of FF GROUP directly owned by Mr. Dimitrios Koutsolioutsos as well as
2.) 1,550,000 common registered shares of FF GROUP indirectly held by Mr. Dimitrios Koutsolioutsos through the company "Cordial Worldwide Limited", of which Mr. Dimitrios Koutsolioutsos holds 100% of the shares.
More specifically, the total of the above shares, i.e. 7.550.000 common registered shares of FF GROUP, were contributed to the company “Lamelia Enterprises Limited” to cover its capital increase in kind, which was realized by the latter and which was fully covered by Mr. Dimitrios Koutsolioutsos and through his company Cordial Worldwide Limited, of which Mr. Dimitrios Koutsolioutsos owns 100% of the shares. It is being clarified that "Lamelia Enterprises Limited" is a company of sole interest of Mr. Dimitrios Koutsolioutsos, based in Limassol, Cyprus (with registration number 374625) of which Mr. Dimitrios Koutsolioutsos owns 100% of the shares and which is fully controlled by him.
As a result of the above, no changes occurred with respect to the voting rights on the above 7.550.000 shares, which are still controlled by Mr. Dimitrios Koutsolioutsos, as the latter:
Before these transactions, he held (i) directly as physical person a total of 19,921,743 common registered shares of "FF GROUP" (i.e. holding directly 29.757% of the total share capital of the latter) and (ii) indirectly through Cordial Worldwide Limited, in which Mr. Dimitrios Koutsolioutsos owns 100% of the shares, a total of 3,550,000 common registered shares of FF GROUP (i.e. indirectly held 5.303% of the total share capital of the latter), i.e. before the OTC transfers, Mr. Dimitrios Koutsolioutsos held a total of 23,471,743 shares of the issuer (directly 29,757% and indirectly 5,303%) a percentage of 35.06% of the total share capital of FF GROUP.
Following these transactions, Mr. Dimitrios Koutsolioutsos continues to hold (directly and indirectly) 35.06% of the total share capital (and 23.471.743 voting rights) of FF GROUP, in the following way:
(a) directly owns as an individual (physical person) the percentage of 20,795% i.e. a total of 13,921,743 common registered shares issued by FF GROUP (i.e. 19,921,743 - 6,000,000 shares contributed to Lamelia Enterprises Limited) and
(b) Indirectly holds: (i) through Lamelia Enterprises Limited, of which he owns 100% of the shares and has full control, a stake of 11.277% of FF GROUP, i.e. a total of 7,550,000 shares contributed in both above OTC transactions to Lamelia Enterprises Limited and (ii) through Cordial Worldwide Limited, a stake of 2.99% in FF GROUP from a total of 2,000,000 shares that he still holds through this company.
